General Terms of Sale

1. Definitions
Terms used in these General Terms of Sale have the meaning given below. "Mukeï" refers to the platform and its publisher; "Client" refers to any natural or legal person subscribing to a service; "Services" refers to the intangible asset valuation and monitoring services provided via the platform.
2. Acceptance
Any subscription to a paid Service implies full acceptance of these Terms, which prevail over any other Client document.
3. Contractual documents
The contractual relationship is governed, in order of priority, by: the accepted order/quote, these Terms, and the Terms of Use.
4. Duration
Services are provided for the duration indicated at subscription. Otherwise, they take effect upon order and end upon delivery.
5. Service provision
Mukeï provides Services in accordance with industry standards and applicable valuation standards. The Client undertakes to provide accurate and complete data.
6. License
Mukeï grants the Client a personal, non-exclusive, non-transferable right to use the platform for the duration of the Service.
7. Financial terms
Prices are in euros. Payment is made according to the terms specified at order. Late payment may result in suspension of access.
8. Warranty
Mukeï warrants that Services conform to their description. Valuations are methodologically documented estimates and do not constitute financial, tax or legal advice.
9. Liability
Mukeï's liability is limited to the amounts paid for the relevant Service. Mukeï cannot be held liable for decisions made by the Client based on the results provided.
10. Termination
Either party may terminate in case of serious breach by the other not remedied within a reasonable time after notice.
11. Confidentiality
Each party undertakes to preserve the confidentiality of information exchanged.
12. Personal data (GDPR)
Processing of personal data is governed by the privacy policy and the Terms of Use. Data is hosted in Europe (Contabo GmbH, Germany).
13. Governing law and jurisdiction
These General Terms of Sale are governed by French law. In case of dispute, the parties commit to seeking an amicable solution. Failing that, the competent courts of Grasse shall have exclusive jurisdiction.
